These Terms of Service ("Terms") govern your use of ComplyMD's HIPAA compliance software and website at www.complymd.ai (the "Service"). By using the Service, you agree to these Terms.

1. Description of Service

ComplyMD provides HIPAA compliance software tools including risk assessments, policy document generation, staff training, and vendor management for healthcare practices. The Service is designed to assist with HIPAA compliance but does not guarantee compliance and does not constitute legal advice.

2. Important Disclaimer

ComplyMD is a compliance assistance tool. While our software is designed to help healthcare practices meet HIPAA requirements, using ComplyMD does not guarantee that your practice is fully HIPAA compliant. HIPAA compliance is an ongoing process that depends on your practice's specific circumstances, implementation of policies, and staff adherence. We strongly recommend consulting with qualified legal counsel for compliance questions specific to your situation.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorized access to your account.
• You must be at least 18 years old to use the Service.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload patient health information (PHI) to the assessment (the Service is not designed to collect PHI)
• Share your account credentials with unauthorized individuals
• Attempt to reverse-engineer, decompile, or extract the source code of the Service
• Resell, redistribute, or sublicense access to the Service

5. Subscription and Payment

• Pricing: Current pricing is listed on our website. We may change pricing with 30 days' notice.
• Billing: Subscriptions are billed monthly or as a one-time payment, depending on the plan selected.
• Cancellation: You may cancel your subscription at any time. Access continues through the end of the current billing period.
• Refunds: One-time assessments are eligible for a refund within 30 days of purchase if you have not generated policy documents. Monthly subscriptions are not refundable for partial months.

6. Intellectual Property

• Our content: The Service, including software, design, and documentation templates, is owned by ComplyMD and protected by copyright and intellectual property laws.
• Your documents: Policy documents generated for your practice are yours to use. You receive a perpetual, non-exclusive license to use generated documents for your practice's compliance purposes.
• Your data: You retain ownership of all data you provide to the Service.

7. Data Handling

Our handling of your data is governed by our Privacy Policy. By using the Service, you agree to our data practices as described in the Privacy Policy.

8. Business Associate Agreement

If your use of ComplyMD involves the potential transmission or storage of Protected Health Information, we will execute a Business Associate Agreement (BAA) with your practice. Contact us at hello@complymd.ai to request a BAA.

9. Limitation of Liability

To the maximum extent permitted by law, ComplyMD shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless ComplyMD from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability, and will provide reasonable notice when possible.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice on our website at least 30 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Maricopa County, Arizona.
